Welcome to Pinnacle Minds. These Terms and Conditions (the "Terms") form a legally binding agreement between you ("you," "your," or "User") and Pinnacle Minds, LLC, a Nebraska limited liability company ("Pinnacle Minds," "we," "us," or "our"), and govern your access to and use of our website at https://www.pinnaclemindmastery.com, our online courses, coaching services, group programs, online community, and any related content, materials, products, or services we provide (collectively, the "Services").

By accessing or using the Services, creating an account, enrolling in a program, or purchasing any product, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services.

PLEASE READ CAREFULLY. These Terms include important provisions regarding disclaimers of warranties, limitations of our liability, and a binding arbitration clause that waives your right to a jury trial and to participate in class actions (Section 18).

1. Eligibility

The Services are intended solely for individuals who are at least eighteen (18) years of age. By using the Services, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into this agreement.

If the materials are intended to be used by an athlete who is under the age of 18, the parent or legal guardian must purchase the Services, accept these Terms on the minor's behalf, and supervise the minor's use of the content. The parent or guardian remains the account holder and is solely responsible for the minor's access and conduct.

We do not knowingly collect information from or provide Services directly to children under 18. If we learn that a minor has registered for an account without proper parental authorization, we will terminate that account.

2. The Services

Pinnacle Minds is a Mental Performance Academy that provides educational and personal-development content for athletes and performers. Our Services currently include, without limitation:

Mind Mastery Foundations: a digital, self-paced course providing daily lessons, worksheets, and supporting materials over a 30-day program.

1:1 Coaching: individualized mental-performance coaching sessions delivered remotely.

Group Programs: cohort-based programs and group coaching offerings.

Online Community: access to a private community (currently hosted on Skool) where members can interact, attend live events, and access community-only resources.

Free Content: blog posts, videos, newsletters, social media content, and other resources made available without charge.

We may add, modify, suspend, or discontinue any portion of the Services at any time, with or without notice. We may also impose limits on certain features or restrict access to portions of the Services without liability.

3. Accounts and Registration

To access certain Services you must create an account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update your account information; (c) keep your password confidential; and (d) be solely responsible for all activity that occurs under your account.

You agree to notify us immediately at [email protected] of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to safeguard your account credentials.

Your account is personal to you. You may not transfer, sell, or share your account, login credentials, or program access with any other person. Sharing access is grounds for immediate termination without refund.

4. Purchases and Payments

All prices are listed in U.S. Dollars unless otherwise stated and are exclusive of any applicable taxes, which are your responsibility. Payment is due at the time of purchase or, for recurring offerings, at the start of each billing period.

We use third-party payment processors to handle transactions. By providing payment information, you authorize us and our payment processors to charge the payment method you provide for the amounts due, including any applicable taxes and fees. You represent that you are authorized to use the payment method.

If a payment is declined or reversed, we may suspend or terminate your access to the Services until the amount due is paid in full. You agree to reimburse us for any reasonable costs we incur in collecting overdue amounts, including bank fees, processor fees, and reasonable attorneys' fees.

We reserve the right to change pricing at any time. Price changes will not apply retroactively to purchases already completed but may apply to future purchases or to renewal terms of any recurring program.

5. Refund Policy

ALL SALES ARE FINAL. Because the Services consist of digital content and personalized coaching with immediate access upon purchase, all payments to Pinnacle Minds are non-refundable. By completing a purchase, you expressly acknowledge and agree that:

You have reviewed the description of the Services before purchasing.

You will not receive a refund, in whole or in part, regardless of whether you complete the program, attend coaching sessions, or use the materials.

Cancellation of access (whether voluntary or for cause under these Terms) does not entitle you to any refund of fees previously paid.

Chargebacks initiated without first contacting us in good faith are a material breach of these Terms and may result in immediate termination of access and collection of any fees, costs, and processor penalties incurred.

This Section 5 does not limit any non-waivable refund rights you may have under the consumer protection laws of your jurisdiction. If such a right applies to your purchase, our refund obligations are limited to the minimum required by that law.

6. Intellectual Property

All content provided through the Services — including but not limited to text, video, audio, graphics, worksheets, slides, frameworks, course materials, exercises, branding, logos, the "PINNACLE MINDS" name and tagline, and the design and selection of the Services (collectively, the "Content") — is owned by Pinnacle Minds, LLC or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.

Subject to your full compliance with these Terms and your payment of all applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content solely for your own personal, non-commercial mental-performance training purposes.

You may not, and may not permit any third party to:

Copy, reproduce, download, screen-record, distribute, publicly display, or publicly perform any Content except as expressly permitted by us in writing.

Modify, translate, adapt, or create derivative works based on the Content.

Sell, license, sublicense, rent, lease, or otherwise commercially exploit the Content.

Use the Content to train, fine-tune, or otherwise develop any artificial intelligence or machine learning system.

Remove, obscure, or alter any copyright, trademark, watermark, or other proprietary notice contained in the Content.

Use the Content to create or operate a competing course, coaching program, community, or other product or service.

All rights not expressly granted to you in these Terms are reserved by us and our licensors.

7. User Conduct and Acceptable Use

You agree to use the Services lawfully and respectfully. You will not:

Violate any applicable law or regulation.

Infringe the intellectual property, privacy, publicity, or other rights of any person.

Post or transmit content that is unlawful, harmful, threatening, harassing, abusive, defamatory, obscene, or otherwise objectionable.

Impersonate any person or entity or misrepresent your affiliation with any person or entity.

Interfere with, disrupt, or attempt to gain unauthorized access to the Services, servers, or networks connected to the Services.

Use any robot, scraper, crawler, or other automated means to access the Services or extract Content.

Use the Services to transmit any virus, worm, malware, or other malicious code.

Engage in any conduct that, in our sole discretion, restricts or inhibits any other user from enjoying the Services.

We reserve the right, but have no obligation, to monitor use of the Services and to remove content or terminate access for any user who violates these Terms.

8. Online Community Guidelines

Our online community (currently hosted on Skool) is a place for athletes and performers to learn, share, and grow together. Members are expected to maintain a constructive, respectful environment. In addition to Section 7, you agree that you will not:

Post promotional, solicitous, or commercial content unrelated to the community's purpose without prior written approval.

Share other members' personal information, private messages, or coaching content outside the community.

Use the community to provide medical, psychological, financial, legal, or other professional advice.

Engage in personal attacks, harassment, hate speech, or discriminatory conduct of any kind.

Your use of the Skool platform is also subject to Skool's own terms of service and privacy policy. We are not responsible for the practices of Skool or any other third-party platform.

9. User-Generated Content

You retain ownership of any content you post or submit through the Services, including in the online community ("User Content"). By submitting User Content, you grant us and our affiliates a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, create derivative works from, communicate, publish, publicly display, publicly perform, and distribute such User Content in connection with operating, providing, promoting, and improving the Services.

You represent and warrant that: (a) you own or have the necessary rights to your User Content and to grant the license above; (b) your User Content does not infringe any third party's rights; and (c) your User Content complies with these Terms and applicable law.

10. Coaching and Educational Disclaimers

The Services provide mental-performance education, coaching, and training. They are not psychotherapy, counseling, medical care, mental-health treatment, or any other licensed professional service.

Not a substitute for professional care. Nothing in the Services constitutes medical, psychological, psychiatric, therapeutic, legal, or financial advice. The Services are not designed to diagnose, treat, cure, or prevent any mental-health condition, illness, or disorder. If you are experiencing a mental-health emergency, are at risk of harm to yourself or others, or need clinical support, you must contact a qualified licensed professional or, in an emergency, dial 911 or your local emergency services. In the United States, you may also call or text 988 to reach the Suicide & Crisis Lifeline.

Coach, not clinician. Coaches working with us are mental-performance coaches and educators. Unless expressly stated, they are not licensed psychologists, therapists, counselors, or medical providers, and the coaching relationship does not create a clinician-patient relationship.

No guarantees of results. Athletic, academic, professional, and personal outcomes depend on many factors outside our control, including your individual effort, ability, circumstances, and luck. We do not warrant or guarantee any specific result, performance improvement, ranking, scholarship, contract, recovery, or other outcome from your use of the Services. Any testimonials or examples shared reflect individual experiences and are not representative of typical results.

Your responsibility. You are solely responsible for evaluating whether the Services are appropriate for you and for any decisions you make based on the Content. Before beginning any new training program — mental, physical, or otherwise — consult with appropriate professionals, including your physician, athletic trainer, or licensed mental-health provider as applicable.

11. Third-Party Services and Links

The Services may incorporate or link to third-party platforms, products, or services, including but not limited to Skool (community hosting), payment processors, email service providers, video hosting platforms, and analytics providers. We do not control these third parties and are not responsible for their content, policies, practices, or availability. Your use of any third-party service is subject to that third party's own terms and privacy policy, and is at your own risk.

12. Suspension and Termination

We may suspend or terminate your access to all or part of the Services at any time, with or without notice, for any reason, including if we reasonably believe you have violated these Terms, engaged in fraudulent activity, initiated an unwarranted chargeback, or otherwise put us, our users, or our community at risk.

You may stop using the Services at any time. As provided in Section 5, termination — whether by you or by us — does not entitle you to any refund.

Sections that by their nature should survive termination will survive, including without limitation Sections 5 (Refund Policy), 6 (Intellectual Property), 9 (User-Generated Content), 13 (Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 17 (Governing Law), and 18 (Dispute Resolution).

13. Disclaimer of Warranties

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PINNACLE MINDS, LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Services will be uninterrupted, secure, error-free, or free of harmful components, or that any defects will be corrected. You use the Services at your own risk.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL PINNACLE MINDS, LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, COACHES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUES, LOST DATA, OR LOSS OF GOODWILL — ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, FROM ALL CAUSES OF ACTION AND UNDER ALL THEORIES OF LIABILITY, WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. To the extent these limitations are prohibited by applicable law, our liability is limited to the minimum extent permitted.

15. Indemnification

You agree to defend, indemnify, and hold harmless Pinnacle Minds, LLC, its officers, members, employees, coaches, contractors, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any User Content you submit.

16. Modifications to These Terms or the Services

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above and, where appropriate, provide additional notice (such as by email or in-Service notification). Material changes will become effective no sooner than fifteen (15) days after we post them, unless a shorter period is required by law. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services.

17. Governing Law and Venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Nebraska, without regard to its conflict-of-laws rules. Subject to Section 18, the exclusive venue for any judicial proceeding permitted under these Terms is the state and federal courts located in Nebraska, and you consent to the personal jurisdiction of those courts.

18. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution. Before filing any formal claim, you agree to first contact us at [email protected] and attempt in good faith to resolve the dispute informally for at least sixty (60) days.

Binding Arbitration. If the dispute is not resolved, you and Pinnacle Minds, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that you may bring an individual action in small-claims court if it qualifies. The arbitration will be held in Nebraska or, at your election, by video, telephone, or written submission. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. You and we agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative proceeding.

Right to Opt Out. You have the right to opt out of this arbitration agreement by sending written notice to [email protected] within thirty (30) days after first accepting these Terms. If you opt out, neither you nor we will be required to arbitrate; instead, disputes will proceed in the courts identified in Section 17.

19. General Provisions

Entire Agreement. These Terms (together with our Privacy Policy and any program-specific terms we provide) constitute the entire agreement between you and us regarding the Services and supersede any prior agreements.

Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.

No Waiver. Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms at any time, including in connection with a merger, acquisition, or sale of assets.

Force Majeure. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, internet or utility outages, labor disruptions, governmental actions, or pandemics.

Notices. We may provide notices to you by email, by posting on our website, or by other reasonable means. You may provide notices to us by email at [email protected].

Legal and safety reasons — when we believe in good faith that disclosure is necessary to comply with law, respond to lawful requests by public authorities, enforce our Terms, protect our rights or the rights, safety, or property of any person, or in connection with an investigation of suspected fraud or wrongdoing.

Business transfers — in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar transaction, in which case information may be transferred subject to standard confidentiality protections.

With your consent — for any other purpose disclosed to you at the time we collect the information or as you otherwise direct.

We are based in the United States and process information in the United States and in other countries where our service providers operate. The Services may contain links to or integrations with third-party websites, products, or services (including, for example, Skool, payment processors, video hosting platforms, and analytics providers). This Privacy Policy does not apply to those third parties. We encourage you to review the privacy policies of any third-party service before providing your information.

13. Do Not Track Signals

Our website does not currently respond to "Do Not Track" browser signals. However, where required by law, we honor recognized opt-out preference signals such as the Global Privacy Control (GPC).
